Terms of Service

1. The agreement

These Terms of Service ("Terms") govern every visit to samurex.com (the "Site") and every use of Samurex AI software, tools and services (together, the "Services"). Using either means you accept them in full. If you do not, do not use the Site or the Services.

Samurex AI is a software-as-a-service business supplying algorithmic trading engines. We are not a brokerage, investment company, asset manager, financial adviser or bank. We never hold, route or control client funds; your capital sits in your own brokerage account with a provider you selected.

You must be 18 or older, or the age of majority where you live if that is higher, and legally capable of entering a contract. Using the Services is your representation that both are true.

2. Your licence to use the Site

You get a narrow permission to use the Site and Services: revocable, exclusive to nobody, transferable to nobody, and only for lawful purposes that fit these Terms. We may change, suspend or retire any part of them at any time; where a change materially affects paying subscribers we will give reasonable notice.

3. Changes to these Terms

We may amend these Terms. The review date above identifies the current version, and significant amendments are additionally announced by email or on-site notice. Continuing to use the Services after an amendment takes effect is acceptance of it. If you disagree with a change, your remedy is to stop using the Services and cancel.

4. Accounts and credentials

Some features require an account. Register with accurate information and keep it current. Everything done under your login is your responsibility, so protect your credentials and tell us at [email protected] immediately if you suspect unauthorised access. We may suspend or close accounts that breach these Terms, show signs of fraud or illegality, or sit dormant for an extended period.

5. No advice, no fiduciary duty

Nothing on the Site or inside the Services — not engine output, not analytics, not market data, not illustrations, not educational material — is investment, financial, tax or legal advice, and none of it is tailored to your circumstances. Samurex AI is not a registered investment adviser or broker-dealer, and no fiduciary relationship arises from your use of the Services. Consult a licensed professional before committing money to any strategy. Past performance, live or backtested, never guarantees future results.

6. Not a lender, not a money transmitter

Samurex AI does not lend, arrange credit, transmit funds, process trading deposits or operate as a money services business in any form. Any description of financial products on the Site is descriptive only and is not an offer to lend, borrow or transact.

7. Sanctions, financial crime and local law

You warrant that your use of the Services is lawful where you live, including under anti-money-laundering, counter-terrorist-financing and know-your-customer rules. We may ask you to verify your identity and may refuse or withdraw service where we reasonably suspect unlawful activity or sanctions exposure.

You confirm you are not located in, and not a national or resident of, any territory under comprehensive sanctions, and that you appear on no restricted-persons list maintained by the United States, United Nations, European Union, United Kingdom or any other applicable authority.

Users in the EU, EEA and UK: Samurex AI does not provide regulated financial services in these regions and makes no claim that the Services are appropriate or available there. Verifying your own compliance with local financial-services rules is your responsibility alone.

8. Trading risk

Trading currencies, equities and commodities can consume your entire stake, and with leverage more than it. Automated strategies add technology, connectivity and execution risk on top of market risk. You alone are responsible for your trading decisions, including those carried out by engines you enabled, and Samurex AI accepts no responsibility for trading losses. Our Risk Disclosure forms part of these Terms; read it before subscribing.

9. Subscriptions, billing and refunds

Subscriptions are billed in advance for the period you choose and renew automatically until cancelled. Cancel at any time; cancellation takes effect at the end of the paid period and stops the next charge. Because the Services are delivered digitally and immediately, fees already paid are non-refundable except where the law requires otherwise or where we have failed to deliver the Services at all.

Cancelling a subscription and disconnecting an engine are separate actions. If you are leaving, do both — revoking the broker credentials is what actually stops trading.

10. Intellectual property

The Site, the software, the strategy logic, the interfaces, the copy, the design system and the marks are ours or our licensors'. Nothing in these Terms transfers ownership. You may not copy, reverse-engineer, decompile, resell, sublicense or build a competing product from any of it. Full detail is in the Licence Agreement.

11. Acceptable use

You agree not to: interfere with or overload the Site; probe, scan or test its security without written permission; scrape it at a rate that degrades it for others; misrepresent your identity or your authority; use the Services to launder money or evade sanctions; or use them in any way that breaks the law where you are.

12. Third-party services

The Site links to and depends on third parties — brokers, verification platforms, market data providers, payment processors. We do not control them, do not warrant their availability or accuracy, and are not liable for their acts or omissions. Market data on the Market Desk may be delayed and is provided for information only.

13. Warranties and disclaimers

The Services are provided "as is" and "as available". To the fullest extent the law allows we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure or error-free, nor that any strategy will be profitable.

14. Limitation of liability

To the fullest extent permitted by law, Samurex AI and its officers, employees and suppliers are not liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost trading opportunities, or trading losses of any kind, however caused. Our total aggregate liability arising out of or relating to the Services is limited to the subscription fees you paid us in the twelve months before the event giving rise to the claim.

Nothing in these Terms excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded.

15. Indemnity

You agree to indemnify Samurex AI against claims, losses and reasonable legal costs arising from your breach of these Terms, your misuse of the Services, or your breach of any law or third-party right.

16. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access immediately for a material breach of these Terms, suspected fraud or illegality, or where continuing would expose us to legal or regulatory risk. Sections that by their nature should survive termination — intellectual property, disclaimers, limitation of liability, indemnity and governing law — do survive it.

17. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws rules, and the courts of England and Wales have exclusive jurisdiction. If you are a consumer resident elsewhere, this does not deprive you of the protection of mandatory consumer law in your own country. Before starting proceedings, please write to us: most disputes are cheaper to solve by email.

18. General

If any provision is found unenforceable, the rest stands. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them to a successor in connection with a merger, acquisition or sale of assets. These Terms, together with the Risk Disclosure, Licence Agreement, Privacy Policy, Cookie Policy and Disclosures, are the entire agreement between us.
