Licence Agreement

1. Definitions

• "Engine Software" — any algorithmic trading algorithm, engine, strategy component or companion tool Samurex AI develops and delivers through the Services.
• "Broker Account" — the third-party brokerage account you own and operate independently, which the Engine Software reaches through the broker's interface.
• "Confidential Information" — non-public information either party discloses, including source code, strategy logic, trade secrets, business processes, client records and financial detail.
• "Subscription Term" — the period of your active paid plan, as chosen at purchase or renewal.
• "User Data" — the data, configurations, credentials and parameters you supply or generate while using the Services.
• "Covered Markets" — foreign exchange, commodities and equities, to the extent included in your plan.

2. Your licence

2.1 Grant

While you comply with this agreement and your fees are current, Samurex AI grants you a limited, non-exclusive, non-transferable, revocable licence to use the Engine Software and Services for your own trading — personal or internal business — during the Subscription Term. Nothing more is granted, expressly or by implication.

2.2 What the Services are

Samurex AI supplies algorithmic trading software that connects to your Broker Account over a secured interface and executes orders in Covered Markets according to parameters agreed with you. Samurex AI is a software provider only, never a broker, adviser or asset manager.

2.3 The broker connection

You authorise the Engine Software to reach your Broker Account using credentials you supply. Confirming that your broker permits third-party access, and that your account satisfies the broker's requirements, is your responsibility. Samurex AI stores only the encrypted trade-only credentials the connection needs, never your broker login password.

2.4 What you may not do

You may not: (a) resell, rent, sublicense or redistribute the software; (b) reverse-engineer, decompile or otherwise attempt to derive its source code or strategy logic; (c) modify it or create derivative works; (d) use it to build a competing product; (e) circumvent its security or licensing controls; or (f) permit anybody else to use your credentials.

2.5 Your account

Everything done under your login is your responsibility. Protect your credentials and report suspected unauthorised access to [email protected] immediately. Losses flowing from credentials you failed to protect are not Samurex AI's responsibility.

2.6 Your trades, your risk

You configure and control the trading parameters that apply to your account, including which engines run and at what size. Samurex AI does not monitor, advise on or intervene in your positions. A position in a Covered Market can consume the whole balance behind it, and that exposure is yours.

2.7 Updates

Samurex AI may update or modify the software at any time for functionality, security or performance. Where an update changes how an engine behaves we notify active subscribers first; carrying on afterwards accepts it.

2.8 Eligibility

You confirm you are at least 18 (or your jurisdiction's age of majority, if higher), have capacity to contract, and that your use of the Services is lawful where you live.

3. Fees and term

Fees are payable in advance for each Subscription Term and renew automatically until cancelled. Cancellation takes effect at the end of the current paid period. Fees already paid are non-refundable except where the law requires otherwise. We may change pricing with notice before a renewal; your remedy if you disagree is to cancel before that renewal.

Non-payment suspends the licence. Suspension does not close your positions — those remain in your Broker Account and remain your responsibility.

4. Intellectual property

Samurex AI and its licensors own the Engine Software, its strategy logic, its interfaces, its documentation and all related intellectual property. This agreement licenses; it does not sell. Any feedback you give us may be used freely and without obligation.

5. Confidentiality

Each party will protect the other's Confidential Information with at least the care it applies to its own, and will not disclose it except to people who need it and are bound to keep it confidential. This obligation survives the end of the agreement by three years, and indefinitely for source code and strategy logic.

6. Data

You retain ownership of User Data. You grant Samurex AI a licence to process it to provide, secure and improve the Services. We may use aggregated and de-identified performance and usage data for development and benchmarking, in a form that does not identify you. Personal data handling is set out in the Privacy Policy.

7. Warranty disclaimer

The Engine Software is provided "as is". To the fullest extent permitted by law, Samurex AI disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and does not warrant uninterrupted or error-free operation, nor any trading outcome.

8. Limitation of liability

To the fullest extent permitted by law, Samurex AI is not liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost opportunities or trading losses of any kind. Total aggregate liability under this agreement is limited to the fees you paid in the twelve months before the claim arose. Nothing here excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded.

9. Termination

Either party may terminate at the end of a Subscription Term. Samurex AI may terminate immediately for material breach, suspected fraud, illegality, or where continuing would create legal or regulatory risk. On termination your licence ends and the connection to your Broker Account is disabled; open positions remain in your account and remain yours to manage. Sections 4 to 8 and 10 survive termination.

10. General

This agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without depriving consumers of mandatory local protections. If a provision is unenforceable the rest stands. You may not assign this agreement; we may assign it to a successor. Together with the Terms of Service and the Risk Disclosure it is the entire agreement between us regarding the software.
